My client is looking to sell his manufacturing business and has been approached by a consulting firm named Generational Equity out of Texas. Does anyone here have experience working with this firm on the sale of a business?

They have the most broad, overreaching engagement letter I have ever seen. I can't speak to their competency but the engagement letter is awful.

I have a client currently dealing with them, they managed to sweet talk my client at a conference into signing up for their consulting. Miserable experience for the client. Long story short, I would carefully review any of their agreements before advising your client to sign.

All they really do is find potential buyers and are then entitled to a % of the purchase price. Their contracts were sneaky, they remained entitled to their “consulting fee” even if the Seller they sourced backed out of the sale. There was also a provision in their agreement that entitled them to fees for up to two years after the contract terminated, which has prevented my client from being able to sell their business while they wait out the clock.

Primarily they do a valuation and then find a buyer. I assume I’d do all of sellers contract work.

I often represent sellers and can introduce you to m&a advisors who actually bring value (and help find buyers). My firm refers business to (and receives referrals from) these advisors often.

When I interviewed they told me I was not required to recruit but now I’m required to upload 50 “My Relationships” every certain amount of months where other recruiters can technically go after my contacts and recruit them and also am expected to invite potential networking to events and through the beaker model. Is this required? I feel forced and I’ve only been here for less than a month and I’m not loving this approach.

Junior associate here, should I ask for more money if my firm is about 10-15 percent less hours but about 30 percent less pay? Working on a deal where buyer's side keeps on insisting on a POA to effectuate all actions of Seller under the agreement, including executing documents. I keep striking this and commenting that this is not standard. Has anyone dealt with this? I am okay with a limited POA based on the industry of the Seller, but not this general POA.

I have an asset purchase of a retail store transaction. Seller is keeping the second location. Seller is licensing the name from the buyer. The licensing agreement is supposed to contain provisions so that the seller cannot offer promotions or discounts that the buyer does not also offer (i.e., seller cannot undercut buyer's pricing). I know very little about antitrust. Can anyone give me some suggestions how to enforceably draft this agreement, or is this arrangement impossible?
