Stupid question. What do you call the seller/purchaser’s counsel on the other side of a transaction? Specifically, is there a single term/phrase that could be used to encompass the above? I know some people use opposing counsel but that sounds adversarial to me. Thanks for indulging me!

Buyers counsel. Sellers counsel. Lenders counsel.

I have, on occasion, referred to the other side as opposing counsel. You know who you are, jackass.

Been doing m&a for over a decade. Call them opposing counsel. That term is not exclusive to litigation. Seller’s counsel or buyer’s counsel also typical and appropriate.

You can also use Representing counsel

If speaking with them, I call them by their first name. If speaking with my client, I will call them “buyer’s counsel” or “seller’s counsel.” As a side note, I will also call them this is time entries, etc.

Opposing counsel is usually more reserved for, as you mentioned, adversarial proceedings.

Working on a deal where buyer's side keeps on insisting on a POA to effectuate all actions of Seller under the agreement, including executing documents. I keep striking this and commenting that this is not standard. Has anyone dealt with this? I am okay with a limited POA based on the industry of the Seller, but not this general POA.

I have an asset purchase of a retail store transaction. Seller is keeping the second location. Seller is licensing the name from the buyer. The licensing agreement is supposed to contain provisions so that the seller cannot offer promotions or discounts that the buyer does not also offer (i.e., seller cannot undercut buyer's pricing). I know very little about antitrust. Can anyone give me some suggestions how to enforceably draft this agreement, or is this arrangement impossible?

Junior associate here, should I ask for more money if my firm is about 10-15 percent less hours but about 30 percent less pay? The gap will never be closed to the top pay scale at my firm but when I decided to come to this firm the pay difference was about 15 percent and not 30.
