It’s sort of a weird question in that if you didn’t want to be an equity partner you wouldn’t put yourself through the pain of the process, and therefore you wouldn’t ever get offered equity to turn down.
P3 no. Employees don’t vote. Period.

I was at ECG and didn't see any value in equity for a failing company.
I know folks who’ve done this. Think people are misunderstanding the question. They’re asking about equity partners that are offered the chance to buy more. More recently many folks worry that the internal share price is already high, they’re carrying debt from their initial partner loan, and they have other commitments like mortgages
I was talking about friends at other firms. I am aware that we don’t have equity partners. Hence why I said I know folks… not I didn’t…
There is such a thing as a “non-equity partner” at some firms. Other firms call that role “MD”. Somebody might opt into such a role instead of equity partnership if they will not hit the vesting requirement before mandatory retirement age for the partnership. But once you are an equity partner you do not usually get the “option” to buy more shares - rather you are awarded shares as you get more responsibility.
The mechanics of a private partnership are such that all equity partners have capital in the firm. It is not a choice.
I think they could have worded the question differently but I know people who were offered partner, but took non equity partner because of their age.
