Recent graduate looking for a transactional position in Chicago (M&A, etc). Really got screwed by Covid when they froze everyone’s GPA. Summer programs were cancelled, judicial internship cancelled.

Have extensive background in retail finance prior to law school (10 years). Not a traditional student this is my second career. Would love big law, but understand the difficulties of starting there.

Willing to put in the work and earn my stripes in a midsize or boutique firm. Please help!!

Does anyone work or run a satellite office? I’m in a role where our satellite office has no designated leadership that sits regularly with HQ decisions makers. It’s me and an ECD expected to run the day to day with no visibility into the network. We routinely get agency decisions rolling down to us without guidance on how to implement. Curious as to how many deals at once is typical for a first year associate to take on (M&A, mostly private equity clients). Deal size is lower middle market and I’ve worked on deals ranging from $1-$110M. 2 deals at once is plenty for me, but it seems like my peers are able to take on more than that at once and still do fine. Working on a deal where buyer's side keeps on insisting on a POA to effectuate all actions of Seller under the agreement, including executing documents. I keep striking this and commenting that this is not standard. Has anyone dealt with this? I am okay with a limited POA based on the industry of the Seller, but not this general POA.

Do any real estate lawyers out there know of/can direct me to a ROFO agreement to purchase commercial property? I’m working on one now (but using a ROFO to purchase equity interests as a basis) and would like to see what other people are doing. Finding a good one has been hard, as this kind of thing isn’t always required to be filed with the sec and every search I’ve done basically pulls up garbage. Also, are there any provisions you’d consider absolutely crucial from the owner’s side?
