At the closing, when SPAC founder shares are converted to Pubco shares and the SEC restrictive legends are removed, should the transfer agent be authorized by SPAC counsel or Pubco counsel to remove the restrictive legends?

To provide additional context, the Pubco shares issued to the SPAC founder shares were registered in the S-4. The transfer agent requested an opinion confirming the registration of these shares in the S-4.

Looking for advice! I was approved to work remotely but my salary will decrease 10%. I received two raises so the decrease brings me down to my previous salary. I was told that it’s due to the cost of labor in the area.

I’ve been with my company for 8+ yrs, I love my manager and the work I do (engagement, recognition, & wellness programs) but I feel like I’m limiting myself since I have the experience, an HRM degree, and SHRM-CP credentials.

Background: Currently making 95k/160k OTE at a boutique research and consulting firm. I’m happy but we’re extremely flat with little to no opp for promotion in the next 2+ years.

Started as a BDR and got moved into partnerships within the same org. Comp was initially 75k CAD with OTE 120K CAD. New comp for new partner channel I am carving out, I am offered same base but guaranteed 75% quota attainment payout. Is this a fair comp? Would love any constructive thoughts/points on this. Corporate / M&A folks making moves over the last few months: Got an offer from a top 50 lockstep AmLaw100 firm. 4th year. Not NYC but in a market that was recently bumped up to the previous Cravath scale market. Base is obviously set. What should I expect / negotiate for signing bonus, year-end bonus eligibility, special bonus eligibility, etc.? Any other negotiation considerations? I would say leverage is on my side considerably.
