OP, do ask a tax consultant/accountant how best to go about this so you make top dollar... What expenses to show for claiming deduction etc. Look up the contract you signed.. Check out what you signed off on. I'm assuming you're a US citizen or green card holder. If required, you can even seek a legal opinion though I've seen/heard this happen enough number of times without any repurcussion.. Like I said, big 4 will not want to screw up relationship with the client. Oh and if KPMG is going to continue to be on the engagement and if you're put into an oversight role, try not to be vindictive. Will look bad for you. You can be tough... Very tough.. Without crossing the border into being vindictive no matter how tempting it is.
I do 1099 work. I have insurance with a great network that's high-deductible. Premium is $7200 a year. Also, if you worked at KPMG maybe you can elect COBRA?
Important things to know before doing this. Does this client regularly pay their bills? Are you aware If they were paying KPMG’s invoice on time and regularly?
Things to consider:
Can this client actually make those decisions and offers on the behalf of their company?
Legal company start up costs (llc) pay more taxes but if your sued they can’t touch what you’ve paid yourself
Hardware/Software/conference # to do your job
Invoicing/Accounting
If they don’t pay monthly do you have enough cushion to ride it out
Fixed Price is not usually + expenses that’s time and materials so plan to deduct your expenses on total price
Clear scope and timeline and contract with your client
Company bank account, Dunn’s number, liability insurance (sometimes required)
Personal health insurance etc.

Also when you’re on vacation you won’t get paid- it’s a very strange and unsettling feeling just prepare for those changes. Clearly communicate out of office time as you won’t have a back up.

Was the lay-off related to the client? In that case be careful.

Definitely, but factor in the cost of healthcare, 401k; etc.
Many of the responses to this question highlight the risk aversion that has kept us in Consulting under a firm umbrella- my suggestion is go for it as long as you do not have any contractual limitations- it’s no forever and you can always go back to a firm or jump to industry
Why would KPMG lay u off if you have a client willing to pay for you!
Everyone keeps asking why would KPMG lay this person off of the client will pay for them; this happens many times because the layoffs or terminations are determined usually multiple quarters to a year before usually when they are not utilized for multiple months. They are tagged for lay-off even when in the months to year later they are now fully utilized. I’ve known 3 people who had poor performance reviews and were at one point were not utilized and got let go as a super surprise to them because it was 6 months after they were on a fully utilized client who liked them. We aren’t agile enough to make corrections after someone is on the list.
Yeah the non compete is the deal breaker. Did you read anything you signed? Consulting 101 make everyone signs a non compete so no one steals my client. 100% chance your ex-employer will have you removed if you try this. Unless you get another piece of paper releasing you from the non-compete. Sometimes the ex-employer will feel bad and sign something as a way of making it easier for you to find your next gig. I’ve done this with a smaller consulting company, left on good terms, project ran out of money, and I was a good employee for 4 years.
In general non-competes are not really enforceable and not worth their time for one consultant project. If a multi million contract per year type of deal they would go after you.
You can do a good faith effort of asking them ahead of time. But Them saying no shouldn’t preclude you from working with the client.
Not to add further complexity to this, but say I want to add a partner into this. How is salary determined? For ease of numbers, let’s say it’s a $500k in fees and I come up with a 75/25 split. For self employment tax, that is based upon total net profits for the business so I’d do $500k less expenses and then divvy that up 75/25 to be fair? Then, when needing to calculate federal and state taxes. It would be based on the 75/25 income you personally take from the business and that is reported as your income correct?
Client willing to pay 2.5X your base salary? All I can say is that is one hell of a stupid client - would you want to work for an idiot like that?
Client is actually sensible. And it would work out for both parties. As an independent contractor you don’t have to worry about firm activities, metrics or any partners to answer to. That part makes for any project to be very pleasant.
