Sometimes y'all do ask annoying questions tho. Like I know you haven't even looked at the org chart type questions. Or hey I sent you the SPA a week ago and you're asking me for it on a Sunday night at 6pm; hasn't changed since we asked you to comment on it typa questions.

Fair enough, for this one it was essentially the "hey I got some deals I need help with" call - hasn't given me matter numbers yet let alone anything for me to start reviewing. It's like literally what is my scope here? (so I can figure how it fits with my capacity)

Are you asking questions to the partner that you should be asking the mid level / senior associates? Partners are busy and not in the thick of docs, so need to be thoughtful about where questions are directed.

If you’re asking general questions about a deal to see if you have availability (eg what’s the timeline here) that’s fine and the partner is just a jerk.

I don't think there is a midlevel or junior? The partner emailed me and said to call so he could give me the download, nobody else copied or anything.

And yeah this was the "kick off" essentially so I need to know the scope of the assignment before I comkit to see the deal through to the end. Especially bc I just gave my group's partners notice of upcoming remote work/vacation

What’s the best way to deal with a partner that prefers working solo? For context, this writer I work with conceptualizes by himself, emails the Account team, gives deep input, and makes decisions for us without consulting with me (his “partner”) most of the time. So my junior lies a lot. About everything. They work hard and are reasonably smart, but they would swear a black pen is red and vice versa. When you catch them out, they keep digging. Healthcare corporations… please note you have more then 1 shift of workers. You have 3 most times, each shift has to be treated equally. This is and always have been an issue, and you cannot figure out why the other shifts refuse to be active and participate in anything and definitely not engaged anymore.

Working on a deal where buyer's side keeps on insisting on a POA to effectuate all actions of Seller under the agreement, including executing documents. I keep striking this and commenting that this is not standard. Has anyone dealt with this? I am okay with a limited POA based on the industry of the Seller, but not this general POA.

Corporate / M&A folks making moves over the last few months: Got an offer from a top 50 lockstep AmLaw100 firm. 4th year. Not NYC but in a market that was recently bumped up to the previous Cravath scale market. Base is obviously set. What should I expect / negotiate for signing bonus, year-end bonus eligibility, special bonus eligibility, etc.? Any other negotiation considerations? I would say leverage is on my side considerably.
