Cctc: 13 lpa
Have cleared HCL interview. Initially they offered 23 lpa (via proposed offer letter), but i requested to reconsider it for 25 lpa.
After 5 days, they sent final offer letter of 19 lpa (stating they can offer max 50% as per L4 approval).
Queries:
1. Is this normal or rare case, reducing the offer amount from what quoted initially?
2. Should I accept or negotiate?
I don't have any other offer as of now.

I would say your carry is a little light for a true VP role - given the relative size of your fund I would push for an additional half point or so. Also just remember that carry comes late an often on a vesting schedule, so unless you’re staying 5+ years you are not seeing a dollar or carry. If that’s not your horizon, then I would push for more cash

Is this role a role a could reasonably get to 3-5 years out of an M7 MBA?
If I understood correctly, that is the target payout if the fund returns 2x. So if fund is monetized in 6 years, you would get 1mm divided by 6 on top of your cash comp to calculate annual all in comp. Is that correct?
That’s exactly right; it’s not an annualized number given lumpiness of carry payouts. Assuming fund doubles and GP takes 20% (100M) id get 1M

Cash comp is in line for size of fund, might be able to juice carry a bit more. Have seen some a bit (up to 50%) higher

What is breakout of cash base versus bonus? That's the other piece to consider and how that number is calculated (formula versus pure discretionary).

I think it’s about right. I’d expect 400-500k TC at VP level.
