For what it’s worth, M&A is difficult for all newcomers. Even those with advanced legal degrees. That said, you will have to put in some effort to learn the ropes. I would suggest reading the Examples and Explanations series of books (basic federal and corporate) over a period of a few months.
Thank you! Will check that out.
It just takes time. As a senior associate new to the group i think the most important thing to think about is professionalism. Communicate, deliver on time, speak up if you sont understand, review work carefully for unforced errors. No one expects you to know all the answers right now. You are supposed to help drive things forward at other peoples direction.
I imagine you’ll be doing a lot of due diligence work. You should be able to pick up what you need to know after a few deals regarding the process (diligence process and overall deals process).
Technical issues can arise on acquisition and integration (and to a lesser extent on diligence). There is also structuring work that falls under the “M&A tax” umbrella completely unrelated to a deal (e.g.,
restructuring in response to TCJA). This work can be highly technical. To venture world, I’d recommend learning the basics of subchapter C. A good starting point is the Bittker & Eustice treatise available on Checkpoint.
