Anyone have a recommendation (and contact info) for a payment agent for private/smaller deals? Looking for a company that will take buyer’s funds and then wire them where needed (individual stockholders, lenders for payoff, law firms, etc). Basically like a title company but there’s no real estate involved. Many of the companies I’ve found are targeted at large transactions and managing the entire process. We just want someone who acts as a simple paying agent.

Any reason you aren't using the law firm doing the deal?

Usually for small deals like that, I just set up an individual trust account with our bank. No real biggie except accounting for interest. I assume you can distribute money to comply with fdic.

Have you considered a corporate trustee bank that performs paying agent roles? I know of several and can make an intro. Want to PM me?

Yea they might. Computershare was mentioned above, but I like a different trustee bank much better. Computershare is kinda bottom of the barrel of corporate trustee banks in terms of volume and experience.

So, a recruiter gave me feedback that my lack SPHR or SHRM-SCP is causing my resume to be knock out by AI and human recruiters despite my position and work history in Multinationals and being in Technology. Is it possible to be a “silent” investor (party A) with a friend who’s an accredited investor (party B)investing in a company? So if B is investing $50k in a company, and A wants to give B $25k of that investment, is this possible with an agreement between A and B, where they’re responsible for their own portion of taxes?

I have an asset purchase of a retail store transaction. Seller is keeping the second location. Seller is licensing the name from the buyer. The licensing agreement is supposed to contain provisions so that the seller cannot offer promotions or discounts that the buyer does not also offer (i.e., seller cannot undercut buyer's pricing). I know very little about antitrust. Can anyone give me some suggestions how to enforceably draft this agreement, or is this arrangement impossible?

Working on a deal where buyer's side keeps on insisting on a POA to effectuate all actions of Seller under the agreement, including executing documents. I keep striking this and commenting that this is not standard. Has anyone dealt with this? I am okay with a limited POA based on the industry of the Seller, but not this general POA.

So I had 3 deals scheduled to either close end of May or mid June which were all pushed to end of June/beginning of July. Which is when I have my first vacation planned for over a year (I take 0 time off). My whole family is flying up and we’re renting a cabin near me. What do I do? I’m running one of the deals, semi running the other one and not doing much leading on the other one. Note: I was supposed to not be running any of these.
