In house SEC lawyers - what is your day to day/process for quarterly reporting? I'm coming in from private practice, and I'm still trying to get used to what my role is supposed to be in reviewing our 10-Q. For example in private practice, we would handhold a lot for the client but here, accounting essentially runs the show and has a very built out process. I don't really think I'm all that necessary...curious what I'm supposed to be doing given how robust our quarterly report drafts are.

Yes external reporting/control handles bulk of document. I review/comment at various stages and obviously provide legal updates/changes (if there is legal proceeding/update, new risk language needed in md&a etc). Also making sure others in legal see relevant language (i.e. m&a lawyers review acquisition footnote/disclosure) Most of my time is reviewing earnings materials and board materials. 10-k tho as you know is a lot more work for me.

Yeah...still getting used to the cadence. In private practice, I never really looked at board or earnings release info (just was never asked by clients, but they have us do the form checks and build out the quarterly reports). Wondering what sorts of things I can do to get a better handle of what my role is. Agree, the K and proxy are where my real work is.

*For context, I'll for sure check the Exhibits, FLS language, read through the Q and MD&A, but it's very minimal what my input really is, I think.

In addition to this, I would be checking any non-GAAP metrics, making sure they are properly reconciled and equal prominence is correctly used. Check for consistency in tone and language across the Q, ER, and ceo/cfo scripts. Make sure to raise questions on if any material developments for the company are properly reflected in the ER and MD&A.

Sounds boring lol

I have so much free time. Work is not life

Received offer from BCG for ECT AD role. Read numerous comments about ECT being not attractive compared to Generalists track. Also heard challenges about billability/utilization. Any views/guidance is appreciated.

Background - I am not super keen to become an equity partner and comfortable to stay on ECT track. Main reason to join will be opportunity to work with different clients, smart talented people and good brand. I may consider going back to industry after 3-5 years in ECT.

Can someone explain how billable hours work? At a new agency and although I had to fill timesheets at my previous agencies, they were mainly used to ensure we weren’t over servicing a client/for setting the appropriate retainer for contract renewals. I asked ppl at my agency but haven’t gotten a proper explanation. I get the impression that billing to the agency admin code isn’t recommended, and my manager said he bills everything to client codes, but that doesn’t make sense to me .

The hiring process is dated and exhausting

a. No less than 3-5 interviews. If you’re in tech, that final “on-site” is likely a test or presentation equivalent to hours of work.
b. Then, the thank you notes to eeeevvveerrryyyooonnee you interviewed with
c. The anxiety-ridden waiting game
d. The offer + negotiations
e. References
f. Background check

I have been offered a position at a non-US B4 with a 2 year path to partner. I know one of the partners at the local firm and have the support of the regional service line lead, and am bringing a specialized skill set they are trying to open a new business around. The KPIs seem achievable and I’ll be in charm school to help build support within that timeline. Most of me thinks a 2 year path under these circumstances realistic but my inner skeptic is jaded. Anything I might have missed?

For in-house counsel roles, does firm prestige matter? For example, would the fact that an applicant is from Sullivan & Cromwell vs, say, White & Case matter at all, or is it much more about experience/interview? When I moved in-house a year ago as a BigLaw mid-level, I took a 45% pay cut, far more than I was comfortable with (although I was fine with a 20-30% cut). I took the job because it was a great role and I was focused on making the jump in house and developing the skills I wanted, which required me moving away from my firm practice area. Now that my year-end review is coming up, how do I ask my company for a significant pay raise (not just a 2-5% inflation-matching raise)?

Big law specialist with an offer to be the CFO and GC of a 250M AUM hedge fund. All in comp would probably be ~$300k, so about $100k less than where I would be in big law (including bonus). Potential to get involved in the business side, but most likely more of a back office role (I would also be the only legal hire - main goal would be cutting outside legal cost and streamlining processes). Got a temp offer for less than a year without promise of turning into full-time. Wanted to know what ppl think about temp jobs (looks bad on resume if I don't turn full-time later within the company?) and what comp should look like (e.g. 1.2× of regular comp?).

Got another perm offer in a different industry for similar salary, but I might have to relocate and I'm concerned the work may involve translation instead of pure legal work.
