Last year when Covid broke, I received a couple of interview calls but ignored them as I felt the organization kept me at work when other companies cut short their HR staff so I should be with them even if with no appraisal. Jr. Associate at an AmLaw 100 firm in Central Florida. Good credentials; top 10% at T14, law review. Sick of private practice bc of hours and pressure. Also, not enjoying the work that Central Florida offers, but want to live here.

When I moved in-house a year ago as a BigLaw mid-level, I took a 45% pay cut, far more than I was comfortable with (although I was fine with a 20-30% cut). I took the job because it was a great role and I was focused on making the jump in house and developing the skills I wanted, which required me moving away from my firm practice area. Now that my year-end review is coming up, how do I ask my company for a significant pay raise (not just a 2-5% inflation-matching raise)?

What would be a reasonable base salary for an in-house senior/managing counsel role? 10 YOE, SaaS with about 500 employees. Located in Los Angeles.

Any downsides to leaving a “Counsel” role and moving into a “Legal Affairs” role? Still practicing and representing the company, just a difference of titles, so core work remains the same - what do you think?

I don't know if this is the imposter syndrome talking, but as in house, I feel like I rarely *do* anything. I answer questions as they come up, review maybe 1-2 contracts a day, and manage a few litigation cases (primarily handled by outside counsel). Compared to my 300+ emails from clients a day that I would receive from my large firm job, I feel like I'm missing something? I'm the only attorney at my small company. I don't know if the workload at my previous firm skewed my perception.

I started a new role 3 months ago and I don’t feel like I’m being set up to succeed. There was basically no onboarding. I have no clue who to go to for anything. Forgive the basic question but can you contract around state statutes? For ex, customer wants to insert state contractor payment statutes and have that state law govern. I’m assuming the way around this is to have another more preferable state as choice of law?

I’m in big law and on the cusp of making the jump to in-house. It sounds like the company I just interviewed with is getting ready to make me an offer. It’s definitely going to be a pay cut coming from big law but I do get some nice equity in the company. Is the jump worth it? I’m an ERISA consultant for Marsh providing 3(21) and 3(38) services. I am interested in learning the opinion of in house counsel. Is it a priority in 2022 to outsource or mitigate fiduciary liability in light of the excessive fee lawsuits hitting employers? Would a trustee committee for a 401k plan hire a third party cofiduciary to share that risk? Lastly, what additional compensation should the 5500 signor receive when asked to be the trustee for a retirement plan?
