When I joined my current company, we were on a quarterly bonus structure with guaranteed payouts each quarter. This was, in fact, how the recruiter said he could meet my salary request.

The company just announced we are moving to annual payouts only, with no payments for 2023 until May 2024. There are no raises happening.

This amounts to 12% less money in my pocket in 2023 plus inflation.

Is this standard, or should I be looking for opportunities elsewhere?

Question on compensation for a small co with a huge independent contractor workforce that is looking at big expansion into Europe. Reports to the general counsel. 1 other lawyer. Bonus 10-18%. Last year was 15%. No 401k for highly comped employees. I asked if they would be open to having me set up a safe harbor 401 k and they said yes in the future but it won’t be part of this offer. 16 pto days. They moved from 205 to 210 but that 230 is not possible even tho posted salary range was up to 233k

Outside counsel has been prepping company witnesses for a trial in August. It is my subject area so I am supervising outside counsel. I did not, however, choose the counsel. He is doing a really awful job. Co counsel is better, but not great either. Higher ups love the firm… I do not want to micromanage, but I have genuine concerns about outside counsel’s ability to try this case. Trials are rare, and I just don’t think these guys have actually tried many cases. Cont. below…

My background is in tech transactional. I joined a cybersecurity SaaS startup at the end of last year and now also handle more generalist matters in addition to all things commercial-related. I have a number of books on contracts that I’ve found super helpful over the years (The Tech Contracts Handbook, A Manual of Style for Contract Drafting, Sign Here, etc.). Can anyone recommend books they’ve found helpful for L&E matters, privacy matters, product matters, or marketing/advertising matters?

I’ve been in an in-house role since the beginning of the year and just gave 2 weeks’ notice to leave for a much better paying and better titled position. The response has been very petty, to the point that I’ve been called unprofessional even after I asked the hiring attorney whether I could give longer notice at the current company’s request. Forgive the basic question but can you contract around state statutes? For ex, customer wants to insert state contractor payment statutes and have that state law govern. I’m assuming the way around this is to have another more preferable state as choice of law?
