Currently have had experience working with SQL developer, OBIEE/OBIA, Teradata in ERP and Healthcare projects. Got an offer for SE III at a large tech company. Product I'd be working on interests me and I think I could grow more than in my current role.

Currently I make 180k base and have ISO/RSUs @ startup (60k/yr worth on paper, but won't be worth anything for a few years, if at all).

The offer is:
Base: $166,500
Target Bonus: 10% ($16,650)
RSU: 120k total (30k/yr)

Thoughts on offer? Should I counter?

Additionally there's a yearly target RSU bonus about equal to the cash bonus. Thoughts? 4.5 YOE

One of the reasons I want to transition from industry to consulting (tier 1) is that I get frustrated when I have to collaborate with mediocre people. My assumption is that Tier 1 consulting firms hire really sharp people and if I can get in, I’ll be collaborating with folks on top of their game (not expecting much from clients). I’m aware there are personal aspects I need to work on like my mindset, patience etc etc, but I just get so frustrated with blatant stupidity.
