How do you deal with people who throw you under the bus because they’re the ones who are incompetent?

If an employee mentions something disparaging or accusatory about their manager during an exit interview, how would you handle? What happens if what the employee said is slanderous and a “he said/she said” situation? I.e. employee claimed the manager made a disparaging remark about an item of clothing being worn by someone in accordance with their beliefs. If you opt to share the feedback with the manager, would the manager have a legal case against the company or former employee?

Anyone deal with this before: I inherited a severely under developed team including a sr analyst who clearly was doing the bare minimum, if that. Over the last 6 months I have had to coach him and correct simple mistakes in his work and recently it got so bad that I told him he would receive a low rating in his evaluation. If you notice that a junior associate on your team has over-billed, how would you handle it? I don’t want to get them in trouble, but noticed that they billed extremely high numbers even though I was doing all they work on the deal and they completely disappeared other than for client conference calls. Which one should I go for?

1. Oracle - 18.3 LPA fixed + probable bonus (I may or may not get)
2. Amadeus - 18 fixed + 1.5 variable.

Amadeus is also giving joining bonus of 75k. Amadeus is paying more, may give better hikes too, but I am finding it hard to let go off Oracle's brand name on my resume even if it's means around 2L less over an year. I am planning to work for atleast 3 years in my next company.
