If you had a role on a very lean legal team (think tech startup), then left for a more established company with a larger team: did you find the former experience worthwhile for your development? I’m wearing a lot of hats atm, which has me feeling like a master of none. I’m worried that I’m spending too much time putting out fires and not enough on deepening my skill set

Putting out fires and managing a lot of different types of issues is its own skill set. A lot of lawyers in big in house departments are so used to farming out issues to various specialists, they completely lack that skill set. What you’re doing is much more aligned with the skills needed for a GC type role, where most big company in house lawyers are too specialized.

I've been doing this for 8 years, currently the sole counsel for an overseas foreign company in the US. Jack of all trades. Every day is different. From litigation, compliance, privacy , general corporate , product counseling to employment — you name it, even non legal issues. Am I a specialist in any area? No. But I think I know a little bit of everything to can get the job done . And seek outside counsel help when needed.

But the fire drills is real. You just gotta try to do a little bit everyday to improve things or delicate to outside counsel. Prioritize what’s important.

Being part of a lean legal team helps you grow as a lawyer exponentially faster. You think across different legal areas and have to make difficult judgment calls. You learn how to execute and think like a business operator. I think bigger companies have playbooks for everything and it’s plug and play; you don’t know why those were built in a certain way, and people outsource and delegate everywhere. If you want to coast that’s fine. I think the value in being at a large corporation is seeing what mature/developed/sophisticated legal departments should look like ultimately. If you are always at a startup, you don’t know better.

I’m currently considering a move to another lean team and I’d wondered this myself. In my industry the big companies have very silo’d attorneys but they have internal mobility. Where I am now and where I’m hoping to go it’d be a lot of everything.

Being a part of lean teams in-house taught me more than just about any other experience. I went back to Biglaw (turns out some lean teams can be exhausting) but the experience of doing that for ~4 years has made me way more valuable to clients. I understand more of their issues at a business and practical level, am better at spotting issues that will create problems long-term (instead of deferring to precedent) because I have lived and resolved those problems, and feel more confident dealing with new things after that experience. If you have the energy to do it for at least a few years, I highly recommend it from a development perspective.

Ty! By deals do you mean M&A? Or more like commercial partnerships? Can’t imagine tech companies outsourcing the latter to firms for $$$

Yes

I did what you’re mentioning. I did have some additional learning to do now that I dive deeper and focus more on particular areas. I like it though, less stressful

Intl Tax folks, how long did it take before you were confident in your role? I've worked for the past 3 years in a practice that is heavily consulting based (inbound and outbound structuring) and I feel like I'm only just starting to understand the foundational concepts (where I can explain them clearly to clients) and offering a shred of value. Then I'll have calls where partners discuss complex tax, legal, treasury and other related concepts that all go over my head.. it becomes overwhelming

Additional Posts in In-House Counsel

When my job is to handle all the corporations issues does it ever get hard to see the light at the end of the tunnel? Like that this business will survive? It will get its next round of funding? This litigation won’t wipe us out… something’s I just become very pessimistic about the future of the company.

Has anyone successfully managed to move from a niche in-house practice to a more generalist role? If so, can you provide any helpful tips to transition? I have started down a specialty that I fear will limit my mobility in the future and am looking for tips on how to not be pigeon-holed.

I am about to transition from being a junior partner at a large law firm (my practice has focused on private equity M&A) to Deputy General Counsel at a large-ish Pubco. I am already giving myself a crash course in public securities and corporate governance from my firm’s training materials and my cap markets partners, but I also wanted to poll the audience for other suggestions on how to become as prepared as possible for my new role please. Thanks in advance!

Need a sanity check here.

When I joined my current company, we were on a quarterly bonus structure with guaranteed payouts each quarter. This was, in fact, how the recruiter said he could meet my salary request.

The company just announced we are moving to annual payouts only, with no payments for 2023 until May 2024. There are no raises happening.

This amounts to 12% less money in my pocket in 2023 plus inflation.

Is this standard, or should I be looking for opportunities elsewhere?
