I think you already the know the answer.
Unclear - “innovative” is pretty broad - is it a privately-owned startup? What’s your view on equity upside? (Eg Snap and Twitter are “innovative”, but already publicly traded and disaster valuations)
You framed the argument pretty one-sided, so I assume your heart is in leaving, but it’s worth thinking about it holistically
Objectively, you’re a predictable / transparent promotion away from a six figure raise to EM / PL in the next year or two

To add some color... managing a division of about $100M+ with about 150 employees ... thinking about long-term prospects and how something like that looks on a resume as compared to “Engagement Manager at McKinsey”... industry is tech, edge computing

What is your argument for staying?

Partner1... innovative was meant to be vague... promotion timing is in <6months to EM/PL... both offers seem to be for roles that an EM/PL would go into, but maybe I’m wrong? Do EM/PLs go into senior director roles?
Equity you mentioned would be 4-5yr vest...
Your bonus though may grow at higher pace at your current firm with upcoming promotion.. negating most big not all of equity upside.
Create a model.. some scenario analysis.. see where you end up.
EM/PLs are a dime a dozen. Go. Don’t look back.
Nothing about that story adds up. Unless you’re at a telco? Not sure how many companies let a director manage a $100M edge computing business.
But yeah, if it’s an emerging tech company, you should def bail - that’s once in a lifetime
