Hello. I am a Trust and Estates paralegal. I’ve been trying to get a job in this particular area of law but each job requires extensive experience in corporate. I was told verbatim by a recruiter that I shouldn’t even bother switching into corporate law. What can I do in my current role and outside work to improve skill set to stand out a bit more ?

Why do you want to switch?

It’s not selfish to want to be paid more… it may be that you just need to get interviews at firms that would pay you more for your experience in trusts and estates

Or, if you really want to go corporate then probably that would involve a lot more hours in a big city and then your cost of living may be much higher too

I would try and figure out what the duties and responsibilities are for XYZ position and then from there take the time to teach yourself.

For example, my firm is hiring a Baltimore paralegal in the Life Science Transaction group. They want someone who knows how to prepare and file form ss-4 and ein; research state statues, draft ancillary documents for closing and signature pages and etc.

It’s hard to know how to help you because I have no idea what a paralegal does in a day to day basis. All I know is that they are my saving grace.

Art Directors. How protective are you of your references and resources? I have a folder with lot’s of textures, mockups that I’ve spent time building. I even paid for some of those assets. I understand a CofC is triggered in an equity deal, but is that also triggered in an asset deal (along with assignment, obviously)?

I have an asset purchase of a retail store transaction. Seller is keeping the second location. Seller is licensing the name from the buyer. The licensing agreement is supposed to contain provisions so that the seller cannot offer promotions or discounts that the buyer does not also offer (i.e., seller cannot undercut buyer's pricing). Do any real estate lawyers out there know of/can direct me to a ROFO agreement to purchase commercial property? I’m working on one now (but using a ROFO to purchase equity interests as a basis) and would like to see what other people are doing. Finding a good one has been hard, as this kind of thing isn’t always required to be filed with the sec and every search I’ve done basically pulls up garbage. Also, are there any provisions you’d consider absolutely crucial from the owner’s side?

Corporate / M&A folks making moves over the last few months: Got an offer from a top 50 lockstep AmLaw100 firm. 4th year. Not NYC but in a market that was recently bumped up to the previous Cravath scale market. Base is obviously set. What should I expect / negotiate for signing bonus, year-end bonus eligibility, special bonus eligibility, etc.? Any other negotiation considerations? I would say leverage is on my side considerably.
