I would start with listing environmental concerns and go from there. I would expand each issue by explaining any relevant law/regulation and potential ways to address in the agreement.
Agree with A1. Don’t forget to look at specific agency rules. For ex, EGLE. Also if you are in Michigan your library likely has John Cameron’s book on Real Property (print only). His book is always a good place to start. A quick read of a few sections might help you with issue spotting.

Good, sound substantive advice from Atty 1 & Assoc 1. Please allow me to give you some client management advice to go along with that.
Keep your memo short. No one wants to read the next great treatise on Environmental Law. Pepper the memo with headings and subheadings. It will not only facilitate your client’s digestion of your advice, but it will allow them to go back easily and pull out the most relevant portions to feed to his/her colleagues.
Finally, if the memo is longer than three pages, consider an “Executive Summary” to accompany your memo. The ES should follow the outline format of your memo but should omit all statutory and case references, and be no longer than 1 page. This is not a law school paper; it’s a roadmap of issues for your client to consider.
