Public global parent company may be acquired later this year and taken private - the potential PE buyer already owns a controlling stake in the company and has for years. I’m one of 3 lawyers at the U.S. subsidiary which is the most profitable globally and likely the real target. Been here almost a year. Any advice? 2019 grad for reference.

I get my first grant next month.

What’s your speciality? My wife just went through this and she ended up being fine and received a promotion such that she is the AGC in charge of commercial and corporate. That said the CLO and two corporate DGCs lost their jobs a log with a host of other junior folks. She was able to negotiate a transaction bonus and retention bonus to make up for the turmoil and lack of future rsus.

The company is super lean. Like we punch way above our size due to the high cost/specialized products we sell. There really isn’t much fat to trim.

Would love some advice / thoughts. I went straight from law school to a corporate legal department in house for an asset manager. They like “home grown” talent and I “be worked hard and risen relatively quickly (AGC in 9 years). I work hard and get a lot of complicated deals done (structured products and private funds). I can’t shake certain people (in compliance department mainly) thinking I don’t have enough experience to do what I do because I didn’t come from a law firm. Any advice?

How far do you require depts be with negotiating commercial contract terms before your legal review? I’m talking routine low value and risk contracts (e.g., vendor services), where Legal terms won’t kill the deal. My clients blindly forward contracts. I say “are you sure this term is ok?” And often get “no.” They’re surprised because they never read them. Checking the temp to see what others experience, what might be normal. Currently working on a three person team in a larger GC group. I lateraled from a different group that did not pay attorneys on an attorney scale. I’m stuck in my old pay scale but have gotten promotions and raises quickly with more on the horizon. A recruiter reached out with a new role for 2-2.5x more than I currently make doing something similar. I love my company and the people I work with but the money isn’t there. Working Moms/Dads: Do in-house positions exist with flex time hours? I need to be able to leave work at 4pm to pick up my son from daycare, but i can get back online at home to resume any unfinished work at 8pm. I’m in big law and on the cusp of making the jump to in-house. It sounds like the company I just interviewed with is getting ready to make me an offer. It’s definitely going to be a pay cut coming from big law but I do get some nice equity in the company. Is the jump worth it? If you practice collections in-house, what do you earn and do you receive a bonus?

I have practiced for five years and make $121k as an employee of a financial services company. As the only attorney, I oversee all statewide collections efforts, from demand letter to garnishment, with a case volume of nearly 7k new cases per year, of which the majority I end up litigating. I receive only a $1k bonus per year. Is my compensation fair? My last insurance defense gig was $75k.
