Got an offer for SE III at a large tech company. Product I'd be working on interests me and I think I could grow more than in my current role.

Currently I make 180k base and have ISO/RSUs @ startup (60k/yr worth on paper, but won't be worth anything for a few years, if at all).

The offer is:
Base: $166,500
Target Bonus: 10% ($16,650)
RSU: 120k total (30k/yr)

Thoughts on offer? Should I counter?

Additionally there's a yearly target RSU bonus about equal to the cash bonus. Thoughts? 4.5 YOE

So i have been fortunate that i have managed to go through my career without the need for a degree. I was lucky enough to have been hired by one of the worlds top consulting firms, worked with a whole lot of big clients and travelled a lot. It's gotten to the point where I am not even asked about the lack of a degree on my resume. Personally though, it bothers me. I got laid off from deloitte. Now i work in cre asset management. I don't love my job. I am on visa (opt stem) . I need to work on finding happiness with my work to be more productive and be happy. He has applied fr the match last yr & was nt able to match. Match process costs around USD10k; this year he is applying again after borrowing funds frm different sources bt he is under tremendous pressure to get match.
