I’m an infant associate: what does it mean to “tie out a cap table”? Can someone ELI5? People at my firm are super nice especially because I’m so junior, but I don’t want to bother anyone over the long weekend.

You have to find all the supporting executed documents and match those with with numbers in the cap table. Investor Y has 10,000 shares of series A? Okay let me find the SPA that shows that. Oh the SPA says they actually bought 20,000 shares? Okay let me look for a stock transfer agreement, maybe they sold half in a secondary.

Same for option grants — find the board consent that granted option grants. If you’re lucky the consents granted them in batches of 30 so you don’t have to find one-off consents for some grants.

Basically every for every number in the cap table you have to be able to point to the documentation that explains that.

If you really want to “wow” the senior associate look at the recent option grants and see if any of them were within ~2 weeks ago…there could be some 409a issues if the options were granted after a term sheet was received

There’s no reason you have to put up with a job you hate. I spent many years working in a toxic environment with a boss who gossiped and lead through fear. He wasn’t really much of a leader but basically a foreman. And he could make my existence miserable. I admit that it wasn’t easy to find another job but the bottom line is: trust your guts. If you feel something is wrong it’s because it probably is. Don’t second guess yourself. Look for options and and fight for your mental health.

I have a partner who routinely ignores emails or responds to them several weeks later. He has to approve every single document sent to the client or the court, which means you have a physically go to his office to ask him to review something. Half of the time you go to meet with him in person, he’s either on a call or otherwise busy. I find that this basically creates more work and makes meeting deadlines extremely difficult. Is this normal?

I feel like gay men especially are constantly discriminated against in the workplace. I have been turned down for a promotion, yet again, in favor of a married heterosexual with kids. This has been the story of my career. Have superior experience - stellar reviews - people fighting to get on to my team because our team is great and I treat everyone well. This is so frustrating. Again and again, it’s a culture of parents helping other parents. No gays in upper level mgmt in our office.

What was the hardest class year for you? I used to think first year was by far the hardest but now I’m a third year and I’m really feeling the pressure to step up. I work in finance and at this point I’m expected to handle closing documents, manage first years, draft some portions of major docs, etc. I feel like I’m always frazzled, constantly second guessing if I handled something correctly and anxious to answer calls from clients/OC.
